Agreement to Terms

HayShare is a product of Redstone Foundry LLC, a Colorado limited liability company ("Company," "we," "us," "our"). By accessing or using HayShare, you agree to be bound by these Terms of Use, our policies referenced in these terms, and all applicable laws and regulations. If you do not agree to these terms, you may not use the platform.

These terms form a legally binding agreement between you and Redstone Foundry LLC (d/b/a HayShare) and apply to your use of our website, listings, messaging tools, account features, and related services.

Description of Service

HayShare is an online marketplace that connects rural producers with buyers in their communities. Our platform allows users to create listings for agricultural products, feed, hay, straw, equipment, services, and related items.

Redstone Foundry LLC, doing business as HayShare, provides marketplace tools only. Redstone Foundry LLC is not the buyer, seller, producer, distributor, broker, warehouse, carrier, shipper, payment processor, or insurer of goods listed by users unless explicitly stated otherwise in a separate written agreement. We do not take title to listed goods and are not a party to transactions between users. Nothing in these Terms creates a partnership, employment, or agency relationship between you and Redstone Foundry LLC.

Eligibility and Accounts

Eligibility

  • You must be at least 18 years old to create an account
  • You must have the legal authority to enter into these terms and to sell, buy, or offer any listed goods or services
  • You may not use HayShare if you have been suspended or removed from the platform unless we expressly permit it in writing

Account Creation and Security

  • You must provide accurate, current, and complete information when creating and maintaining your account
  • You are responsible for maintaining the security and confidentiality of your account credentials
  • You may not use another person's account without permission
  • You must verify your phone number to access certain features
  • You are responsible for all activity that occurs under your account, whether or not you authorized it
  • You must notify us promptly if you believe your account has been compromised or used without authorization

Business Information

  • If you act on behalf of a farm, ranch, business, or organization, you represent that you have authority to bind that entity
  • You are responsible for maintaining any licenses, permits, certifications, registrations, and tax status required for your activity

Listings and Seller Responsibilities

Creating Listings

  • You are solely responsible for your listings, descriptions, images, prices, quantities, labels, statements, and other content you submit
  • You must accurately describe items and services in your listings and keep listings current
  • You may only list items you have the right to sell
  • Listings must comply with all applicable laws and regulations
  • You are responsible for setting accurate prices, availability, pickup terms, delivery terms, and any other transaction conditions
  • Photos must accurately represent the item being sold
  • You may not make false or unsupported claims about origin, safety, freshness, quality, certification, inspection status, weight, quantity, or performance

Product Safety and Compliance

  • You are solely responsible for the legality, safety, quality, condition, storage, packaging, transport, handling, and labeling of goods you list or sell
  • You must comply with all food safety, animal feed, agricultural, consumer protection, weights and measures, health, transportation, licensing, labeling, and tax laws that apply to your goods or services
  • If your listing involves regulated, restricted, perishable, edible, ingestible, or potentially hazardous goods, you must ensure full legal compliance before listing or selling them
  • You must provide any disclosures, warnings, certifications, or documentation required by law or reasonably requested by a buyer

Prohibited Marketplace Activities

You may not use HayShare to do any of the following:

  • Offer, promote, request, or sell illegal goods or services, stolen property, or goods you do not have the right to sell
  • Offer unsafe, contaminated, adulterated, recalled, misbranded, counterfeit, or unlawfully regulated goods
  • Create fake listings or materially misrepresent the source, quality, inspection status, condition, quantity, pricing, certification, or legality of goods or services
  • Engage in fraud, scams, deceptive conduct, bait-and-switch practices, or other dishonest behavior
  • Impersonate another person, farm, ranch, business, buyer, seller, or public authority
  • Harass, threaten, intimidate, extort, stalk, or discriminate against any user
  • Use the platform to solicit payment through deceptive, high-risk, or unauthorized channels
  • Attempt to move transactions off-platform in order to evade platform rules, safety checks, reporting, investigations, or future payment requirements if introduced
  • Collect, scrape, or harvest data from the platform without our written permission
  • Use bots, automation, or similar tools to create accounts, post listings, send messages, or interfere with platform operations
  • Upload viruses, malicious code, or content intended to disrupt, damage, or gain unauthorized access to systems or accounts
  • Interfere with or circumvent any moderation, security, identity, verification, rate limiting, or abuse prevention measures

Transactions, Payments, and Marketplace Risk

User-to-User Transactions

  • All transactions are between buyers and sellers directly unless HayShare expressly states otherwise for a specific feature
  • You are responsible for verifying the identity, legitimacy, quality, safety, legality, and suitability of any goods, services, or counterparties before transacting
  • You are responsible for arranging payment, pickup, delivery, inspection, insurance, and any written agreements needed for your transaction
  • HayShare does not guarantee that any listing is accurate, complete, safe, lawful, available, or fit for your intended purpose

Payments and Fraud Prevention

  • Unless we expressly provide a payment feature, HayShare does not process, hold, or transmit funds between users
  • If HayShare introduces payment functionality, your use of it may be subject to additional payment processor terms, identity verification requirements, reserves, holds, reversals, or transaction review
  • We may block, delay, limit, cancel, or refuse access to marketplace features where we suspect fraud, unlawful conduct, abuse, chargeback risk, policy violations, or threats to platform safety
  • You are responsible for all taxes, fees, reporting obligations, and records related to your transactions

No Transaction Guarantee

  • HayShare does not guarantee payment, delivery, pickup, product performance, product condition, legal compliance, or successful completion of any transaction
  • Any dispute regarding quality, condition, contamination, shortage, delay, non-delivery, non-payment, misrepresentation, refunds, or other transaction issues is between the users involved, except to the extent required by law

Content and Intellectual Property

Your Content

  • You retain ownership of content you post on HayShare
  • By posting content, you grant us a license to display and distribute it on our platform
  • You represent that you have the right to post all content you upload
  • We may review, remove, restrict, or refuse content that violates these terms, our policies, or applicable law

Platform Content

  • HayShare and its content are protected by copyright and trademark laws
  • You may not copy, modify, or distribute our platform content without permission
  • Our logo, name, and branding are our property

Privacy and Data Protection

Your use of HayShare is also governed by our Privacy Policy. By using our service, you consent to our collection and use of your data as described in the Privacy Policy.

Monitoring, Moderation, and Investigation

To protect the platform, users, and the public, we may monitor marketplace activity, review listings, messages, reports, metadata, account information, and other platform use to detect fraud, abuse, safety issues, policy violations, and unlawful conduct.

  • Investigate suspected violations of these terms, our policies, or applicable law
  • Request identity, ownership, product, licensing, or compliance documentation
  • Remove, hide, downrank, edit, restrict, or refuse listings or other content
  • Suspend, limit, or terminate accounts or features
  • Preserve logs, communications, and records where we believe it is reasonably necessary for safety, compliance, dispute handling, or legal obligations
  • Cooperate with law enforcement, regulators, courts, payment processors, insurers, or other third parties where we believe disclosure is appropriate or legally required

Reporting and Marketplace Safety

Users are encouraged to report suspicious listings, scams, unsafe products, harassment, impersonation, and other trust or safety concerns. We may prioritize review of reported conduct, but we are not obligated to resolve every dispute or to take action in response to every report.

Repeated or serious violations may result in permanent removal from the platform and referral to relevant authorities or service providers where appropriate.

Disclaimers and Limitations of Liability

Service "As Is"

HayShare is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, secure, or error-free.

No Guarantee of Transactions

We do not guarantee the quality, safety, legality, inspection status, labeling accuracy, merchantability, fitness, biosecurity, condition, or suitability of goods or services listed on our platform. We are not responsible for the acts, omissions, statements, products, services, or failures of buyers, sellers, or other third parties.

Food, Agricultural, and Product Risk Disclaimer

Goods listed on HayShare may involve food safety, feed safety, storage, transport, spoilage, contamination, disease, infestation, mechanical failure, or other risks. You assume all risk associated with evaluating, purchasing, using, consuming, transporting, storing, handling, or selling goods obtained through the platform.

Limitation of Liability

To the maximum extent permitted by law, Redstone Foundry LLC (d/b/a HayShare), its officers, directors, members, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the amount you paid to us, if any, in the past twelve months.

Indemnification

You agree to indemnify and hold harmless Redstone Foundry LLC, its officers, directors, members, agents, and affiliates (collectively, "HayShare") from any claims, damages, losses, liabilities, fines, penalties, judgments, and expenses, including reasonable attorneys' fees, arising from or related to your use of the platform, your listings, your transactions, your goods or services, your violation of these terms, or your violation of any law or rights of another party.

Enforcement Rights

We reserve the right, in our sole discretion and to the extent permitted by law, to take any action we consider appropriate to protect HayShare, our users, and the public, including to:

  • Remove listings immediately
  • Limit account functionality, messaging, or visibility
  • Suspend or terminate accounts for actual or suspected violations
  • Refuse service, reverse feature access, or block attempted re-registration
  • Report suspected illegal conduct, fraud, threats, or safety issues to law enforcement, regulators, or service providers
  • Take any other action we deem necessary to enforce these terms and reduce risk

Termination

You may delete your account at any time through your dashboard settings. We may suspend or terminate your account or restrict your access at any time if we believe you violated these terms, created risk for users or the platform, or exposed us or others to legal or operational harm. Upon termination, your right to use the platform will cease immediately, and we may retain certain information as described in our Privacy Policy or as required for legal, compliance, and safety purposes.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes by posting a notice on our platform or sending an email. Your continued use of HayShare after changes constitutes acceptance of the new terms.

Dispute Resolution

If you have a dispute with another user, you are responsible for attempting to resolve it directly with that user. HayShare may, but is not required to, assist in reviewing marketplace disputes.

For disputes with Redstone Foundry LLC (d/b/a HayShare), please contact us first to attempt informal resolution. Any unresolved disputes shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles, except to the extent otherwise required by applicable law. You agree to submit to the exclusive jurisdiction of the courts located in the State of Colorado.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
